Terms of Service

Effective Date: January 1, 2026

These Terms of Service ("Terms") govern your access to and use of the websites, software, and services operated by UnLock Labs, Inc. ("UnLock Labs," "we," "us," or "our"), including:

  • The UnLock Labs website at unlocklabs.net ("Site")

  • The UpTempo AI Opportunity Audit application ("Audit Software")

(collectively, the "Services")

By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

 

1. Eligibility

You must be at least 18 years old and have the authority to bind yourself or your organization to these Terms. By using the Services, you represent that you meet these requirements.

 

2. Account Registration

Certain Services require you to create an account. You agree to:

  • Provide accurate, current, and complete information during registration

  • Maintain the security of your credentials

  • Notify us promptly at legal@unlockpmf.com if you suspect unauthorized access to your account

  • Accept responsibility for all activity that occurs under your account

 

3. Use of the Services

3.1 Permitted Use

You may use the Services for lawful business purposes in accordance with these Terms.

3.2 Prohibited Use

You agree not to:

  • Use the Services in any way that violates applicable law or regulation

  • Submit false, misleading, or fraudulent information

  • Attempt to reverse-engineer, decompile, or extract the source code of any software component of the Services

  • Use automated tools to scrape, crawl, or extract data from the Services without our written consent

  • Interfere with or disrupt the integrity or performance of the Services

  • Use the Services to transmit malware, spam, or other harmful content

  • Resell, sublicense, or otherwise provide third-party access to the Services without our written consent

 

4. The UpTempo AI Opportunity Audit

4.1 Nature of the Service

The Audit Software is an AI-assisted business analysis tool. It collects information about your business workflows and uses artificial intelligence to generate recommendations and analysis ("Audit Output").

4.2 AI-Assisted Processing

The Audit Software uses third-party AI service providers to process inputs and generate outputs. By using the Audit Software, you consent to your inputs being processed by these providers as described in our Privacy Policy.

4.3 No Professional Advice

Audit Outputs are for informational purposes only. They do not constitute legal, financial, strategic, or professional advice of any kind. You are solely responsible for decisions made based on Audit Outputs.

4.4 Accuracy

While we work to provide high-quality analysis, AI-generated outputs may contain errors or omissions. We make no warranty regarding the accuracy, completeness, or fitness of Audit Outputs for any particular purpose.

 

5. Intellectual Property

5.1 Our Property

All technology, software, content, trademarks, and materials comprising the Services are owned by or licensed to UnLock Labs and are protected by applicable intellectual property law. You receive no ownership interest in the Services.

5.2 Your Data

You retain ownership of all data, content, and information you submit to the Services ("Your Data"). By submitting Your Data, you grant UnLock Labs a limited license to process and use Your Data solely to provide the Services to you.

5.3 Aggregated Data

We may use anonymized, aggregated, and de-identified data derived from use of the Services to improve our products and services. This data will not identify you or your organization.

5.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant UnLock Labs a royalty-free, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.

 

6. Confidentiality

We treat the information you submit to the Audit Software — including workflow descriptions, operational details, and business data — as confidential. We will not disclose this information to third parties except as necessary to provide the Services, as required by law, or as described in our Privacy Policy.

 

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNLOCK LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNLOCK LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

 

9. Indemnification

You agree to indemnify, defend, and hold harmless UnLock Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

 

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account by contacting us at legal@unlockpmf.com. Upon termination, your right to use the Services ceases immediately. Sections 5, 7, 8, 9, and 12 survive termination.

 

11. Modifications

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site and updating the Effective Date. Continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

 

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

 

13. General

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and UnLock Labs regarding the Services. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision of these Terms is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.

This Privacy Policy explains how UnLock Labs, Inc. ("UnLock Labs," "we," "us," or "our") collects, uses, stores, and shares information when you use our Services, including the UnLock Labs website (unlocklabs.net) and the UpTempo AI Opportunity Audit application.

By using our Services, you agree to the practices described in this Privacy Policy.

1.1 Website (unlocklabs.net)

When you visit our Site, we may automatically collect:

  • Usage data: Pages visited, time on page, referring URL, browser type, device type, and IP address

If you contact us via a form or email, we collect your name, email address, and the content of your message.

1.2 UpTempo AI Opportunity Audit

When you use the Audit Software, we collect:

  • Account information: Your name and email address

  • Company information: Your company or organization name

  • Workflow and operational data: Detailed information you provide about your business processes, workflows, and operations in connection with the audit ("Audit Data")

 

2. How We Use Your Information

We use the information we collect to:

  • Provide, operate, and improve the Services

  • Generate Audit Outputs and deliver results to you

  • Communicate with you about the Services, including support and updates

  • Respond to inquiries submitted via the Site

  • Detect, prevent, and address fraud, abuse, or security incidents

  • Comply with legal obligations

  • Create anonymized, aggregated data to improve our products (this data does not identify you or your organization)

 

3. AI Processing and Third-Party Service Providers

The Audit Software uses third-party artificial intelligence services to process Audit Data and generate recommendations. A current list of AI service providers is available upon request at legal@unlockpmf.com. These providers are contractually prohibited from using your data to train their models or for any purpose beyond providing the service.

We may also use third-party providers for hosting, analytics, email, and other operational functions. These providers are granted access to your information only as necessary to perform services on our behalf.

 

4. How We Share Your Information

We do not sell your personal information. We share information only in the following circumstances:

  • Service providers: As described in Section 3, with vendors who help us operate the Services

  • Legal compliance: When required by law, court order, or governmental authority, or to protect our legal rights

  • Business transfers: In connection with a merger, acquisition, or sale of assets, provided the successor entity agrees to honor this Privacy Policy

  • With your consent: For any other purpose with your explicit consent

 

5. Data Retention

We retain your information for as long as necessary to provide the Services and fulfill the purposes described in this Privacy Policy, or as required by law. If you wish to request deletion of your data, contact us at legal@unlockpmf.com.

 

6. Cookies and Tracking

Our Site may use cookies and similar technologies to understand usage patterns and improve the Site experience. You can configure your browser to refuse cookies; however, some features of the Site may not function properly without them.

We do not currently sell data collected through cookies or use it for cross-context behavioral advertising.

We implement reasonable technical and organizational measures to protect your information against unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

 

8. Your Privacy Rights

Regardless of your location, you have the right to:

  • Access: Request a copy of the personal information we hold about you

  • Correction: Request correction of inaccurate or incomplete information

  • Deletion: Request deletion of your personal information, subject to certain exceptions

  • Opt-out of marketing: Unsubscribe from marketing communications at any time via the unsubscribe link in any email or by contacting us directly

9. Children's Privacy

The Services are not directed to individuals under 18 years of age. We do not knowingly collect personal information from minors. If you believe we have inadvertently collected such information, contact us and we will promptly delete it.

We may update this Privacy Policy from time to time. We will notify you of material changes by posting the updated Policy on our Site and updating the Effective Date. Continued use of the Services after the effective date constitutes acceptance of the revised Policy.
